Proposed By-Law Changes
Voting Members are being asked to consent to three packages of changes to the By-Laws: (1) Function and organization of the Nominating Committee, Nominating Committee no longer chaired by a Board Director; (2) Eliminate provision for conducting special elections to fill Voting Member vacancies (Note: replacement Voting Members have the same authority as elected Voting Members); and (3) Allows Voting Members to be able to vote by absentee ballot or electronic methods.
